So basically, you need to have a quorum or a quorum of shares at the meeting, which means you might have 10% of the corporation's stock. Bernard?

What do you mean by quorum? How much?

What percent do you mean? A quorum is 50% in this case. More than. Section 5 on voting. Each stockholder of record of the corporation holding stock which is entitled to vote at this meeting shall be entitled at each meeting of stockholders to one vote for each share. And so therefore it's understood, it's understandable that if you have 100 shares, you've got 100 votes for the corporation. And that's typically how voting is handled. Section 6 is on proxies and it gives you the right to assign your voting rights to anyone that you so choose that will be attending that meeting of the stockholders in this case. Section 7 is action without meeting. Any action which may be taken by the vote of stockholders at a meeting may be taken without a meeting if authorized by the written consent of directors, or stockholders in this case, holding at least a majority of the voting power. So just like our waiver of notice of meeting, this is the same thing that we are now required to have a 10-day notice. Question?

How does a company work with bear stock?

Again, it complicates things. Generally, when you do, if you're working with bear stock itself, it doesn't get out too far. Hopefully, unless you've got a specific reason for letting it out, and then you've got a lot of problems with respect to meetings. You could basically say that the directors held a meeting for the stockholders and no one showed up, but the directors acknowledged that they did have a meeting and didn't talk about it too much. I would have some documentation created for that though, just to follow the state's requirements.

Yep.

Yeah, that would create a problem if you had proxies on various shares and they were passing their shares around, you'd have given your vote to somebody else that you don't know who that is, and so hopefully that would have elapsed by the time you sold it, that proxy right. Proxies generally, just as a note, are given for a period of time or for specific meetings. In some cases, as we were talking about before, with respect to having control over stock of, let's say, heirs that you wanted to control, but allow them to have ownership of the corporation, you can have voting rights or proxies for periods of time. For instance, 10 years that you could have, generally, for specific meetings, though. Now let's take a look at Article 2. They're under Directors. Management of corporations. The business of the corporation shall be managed by its board of directors, which may exercise all such powers of the corporation and do all such lawful acts and things as are not by statute or by the articles of incorporation or by these bylaws directed or required to be exercised or done by the stockholders. So they handle everything else then that the stockholders do. The number of tenure and qualifications. The number of directors which shall constitute the whole board shall be one. The number of directors may from time to time be increased or decreased to not less than one nor more than 15 by action of the board of directors. And again, if you had specific needs to have 30 directors, you would amend this in your bylaws to make sure that you weren't going against anything that your bylaws said. So it's good just to go through this so everybody knows what kind of limitations are in their bylaws themselves. The director shall be elected at the annual meeting to the stockholders and accepted as provided in section 2 of this article. Each director elected shall hold office until his successor is elected and qualified. Directors need not be stockholders. And then vacancies of directors. Vacancies of the board, including those caused by an increase in the number of Directors, may be filled by a majority of the remaining Directors, though less than a quorum, or by a sole remaining Director, and each Director so elected shall hold office until his successor is elected at an annual or special meeting of the stockholders. And that's enough on vacancies. Let's jump over to page 58. Annual and regular meetings, again, of directors, regular meetings of the board of directors, shall be held at any place, again, within and without the state. And these, generally, stockholders' meetings are in convenient places, especially because the stockholders have to pay for their trip to wherever they're going.

However, at a spike training around October 93, Bogreiz was teaching people how to break into all kinds of locks and sold people illegal locksmithing tools at a discount. What is behind this? Bogreiz has been strongly denying to the people he leads that quote there is no such thing as black unmarked helicopters, UN troops, handcuffs, shackles and guillotines or concentration camps. These things do exist and a great deal of witnesses have reported these things. Bo Grice denies in his newsletter that he is a CIA agent. Linda Thompson and Bill Cooper who are two people exposing the New World Order both claim to have proof that he is a CIA agent I don't know that that is any secret I heard Bo say on a radio interview here in Portland I am an intelligence agent He said it himself, at least one of his authors said it When Bo gives a speaking engagement people who attend have been videotaped. When asked about this, Bo has told people not to worry about it. Again, as a final note, I have learned about Bo Greitz from the best of sources. People simply need to be aware that a civil war is going on in the CIA and some of the CIA are trying to dismantle the New World Order from within.

Penny and I went to pick Marina up at noon today and took her home. And I think she, the doctor says she's doing very well. In fact, he's released her a day early from what he anticipated. But I think she thought she felt better than she really did because getting into the car and getting home and getting into the house was quite an effort for her. And she's using a walker. But she's in good spirit. She thinks that if she has a little rest, then she'll be okay. But she's got a cast on her leg and it's going to be a month before the cast is taken off. So I think she's going to have some hard days ahead and probably will need some help. Penny's going to help her with some housework and I'm going to help her with some meals and so on. And if she needs to stay with me an option. But I think the operation went very well. She has a pin in her shin, several breaks in her leg bone and she had fallen while she was out doing an errand. Some friends of hers were on vacation and she was feeding the dogs and she had to fall. She started calling for help and people found her and took her to the hospital. So she's really, she really felt like she was watched over very well and is very grateful for that. And I think all in all that she's doing extremely well. But it's far better in these instances and I don't knock medicine please. I did oversee this pretty carefully because of the new introduction of some of these new bacteria and we want to watch the wound very very carefully but with a spiral fracture to run a pin through there gets her back on her feet without a body cast and they would have run that cast to her body and in the summertime and trying to get around and then get back on your feet after weeks or months it would have been too lengthy and that is truly debilitating and I have debilitated my speaker Ed might have a comment Ed, let us, for all of you around here, thank you for attending her this is what you're about, not a commune, a family now let's hear when we're going to have the big one

Well, that's a clever lead-in from the straight man to the funny man. All I would want to say at the moment is, any of us who follow the earthquake activity, and there has been no new surprising major quakes this week except for some activity in China and Japan again. This is ongoing in the four, five, six, six and a half, seven range, depending on which scale you're using. And other than that, the biggest question in my mind and others who follow this is why it hasn't gone yet. The amount of activity in Southern California and Northern California is growing steadily on a weekly basis in all of the reports that I see. The amount of activity near Northridge in that general area there in the San Fernando Valley and the amount of activity near Big Bear Lake and Yucca Valley is continually increasing. And up in Northern California, there was this past week, you may have heard, a rather serious quake underneath Berkeley, that is, that's on the East Bay side of what's called the Hayward Fault. And in other words, as the San Andreas goes up, down approximately around Watsonville, Salinas area, where the artichokes are grown, there is a split. And the San Andreas goes up through San Francisco, and off to the right goes the Hayward Fault up the East side of San Francisco Bay, and it goes under Oakland and under Berkeley and then continues up north. The quake was centered under Berkeley and was felt all over the entire San Francisco area and we even put a little notice in the paper last week that Al gave us, which was very revealing, because it mentioned from the San Francisco Chronicle that there were five boom, loud booming sounds heard before the quake occurred. And they called it a single quake, but in point of fact, there were three admitted quakes. One was, say, a two and a half, followed within a few minutes by a three and a half, followed within a few minutes by about a four and a half. Now, that's real unusual activity, and I have an elderly friend up in the San Francisco Bay Area who said it has not stopped shaking since those quakes Sunday and Monday a week ago. And the data I am looking at shows a constant increase in activity both up there on that Hayward Fault, which is extremely dangerous because there are six of the seven major hospitals sit right on that fault line going up the east bay of that side of the San Francisco Bay Area and all of the major school system schools are sitting within a quarter mile of the fault line. There's all the grade schools, high schools. So with the hospitals down and the schools falling down, you can imagine what a mess that would be if that Hayward Fault goes. So it's actually the more dangerous of the faults up in the San Francisco Bay Area. And where the faults come together, where the Hayward Fault splits off down there in the growing fields of Salinas and Gilroy, there has been an enormous amount of activity increase there. Three, four, five magnitude quakes. So with all of that activity going on, I frankly don't know why it hasn't gone yet and I would toss this discussion back to Commander Hatton because maybe he could explain this, why it hasn't gone yet.

We've got several focus points going on and maybe you might get up in the morning and say well see nothing happened sort of like you know over in Iraq just Iraqis got killed so nothing happened. No, you gasped your own men.

You have very narrow vision. And maybe it doesn't seem like anything happened in your dooryard, but ask them in Wichita, Kansas how they feel today. Or along the Gulf Coast. And how about the growing fields that were flooded out last year and now there is no water at home. You cannot live in this one little tiny element. There are other things going on in the coast now. They're going to start racial riots and they're all going to blow it out of the O.J. Simpson thing. And I have to be amongst the first to say that I cannot take exception with the people who are going to rebel. They took a prominent black man, and there are not very many real leaders for the black community. a professor. They call a gladiator a hero. And they will use his marriage, his intermarriage. And before it's done, you will be hearing it over and over again. We have this national emergency of abuse. It is being televised, this hearing, this circus, internationally. It's all being watched. So everything else is going on. And nobody pays any attention during the week. Right up here against a time when they've got to come forth to make sure they have first called the National Guard and your own smaller guard units into their command because I want to tell you something. There is a major massive split in intelligence service and one side is coming out so strong and they, Mr. Jackson said, five million. And Dorma says, yeah, no, pig's eye. Don't count on it not happening. They don't have to be just your troops. They have got to first be able to call up, which they've already done, they've already extended the national emergency over Bosnia yet. Anybody remember Yugoslavia? Well, Mr. Clinton on May 25th, extended the national emergency. Didn't hear? Guess what? That little executive order that gives him power to do everything there is to make you total slaves, anybody heard that it's been countered? It would have gone into effect on Friday. Because some are not going to sit still for this. And most of you don't even know. You've had it. They've done it. And now to undo it, you have one prayer left, and that is the Constitution. They have done it illegally, unlawfully, but they've got the bigger guns. Can you do it. But they don't want to do it that way, because that is the biggie in reserve. Because when they throw it off, it's going to take Japan. And it's going to have such a repercussion against Australia that they're afraid they'll lose some of the underground. I didn't say the outback. They're already having seven or eight quakes back there You cannot move one massive plate without affecting all those plates around it So devastation goes beyond anything you can think of if you pull off the coast of California So they would hope to have some some small big ones But they don't want to ruin their own computer centers, they don't have all their satellite systems. You see for Bluebeam, they've got to have 110 more satellites up there. And because we have made this public, they've had to sell the plan. Don't celebrate yet, they don't, I mean, they always have a better one. They have their alternatives already mapped out. But you are giving yourselves a fighting chance by holding in here. But it's your responsibility you're going to have to take it. And for our visitors who are here and Dr. Young gets up and speaks because I asked him to about earthquakes is because we don't have time to handle all of this and he works very closely with commander Sultek he doesn't even think he hears him and it makes me angry because that's not his thrust it's not his purpose he's filling in and I I appreciate it. If you are using it for a future project or something that you had coming on down the

line you could literally not pay your fees for a few years and as long as at the end

of that period of time you pay those fees up and the late fees your corporation will

be able to pay you back.

And it will show that it was in good standing for all of that whole period of time also. So a lot of times people won't pay the fees on that, but the state doesn't cancel out your corporation. They don't know exactly how long it is, but three to five years, but there's a certain period of time that if they have not paid their fees or they've gone into delinquency there, that you can come in and utilize that name. The state will release it. It will show that there was a corporation at one point with that name, but they're no longer in good standing. And then they'll lie to have that name if it's been long enough. And in this form, does that show vice president? Correct. There's no other way. Is that a representative? I think so. I've never talked to the person that put the form together, but I believe that's part of what they do. All that revenue that the state takes out, the corporations, a lot of those people are there for this one reason only, is that they can have a corporation and still maintain some control over the corporation, still transact or get involved in the activity from a different position in the corporation and not be shown publicly. There are individuals who set up corporations that will have relatives represent those corporations in those positions and never assume even the role of vice president or secretaries or someone else who's working with them to be kind of the front person for that corporation. Nevada could change the laws. That is a possibility. Generally, we believe that they would grandfather in, in this case, they'd grandfather in certain aspects of it, but if they changed this form to include every officer, you'd have to figure out another way around that. Ben? and that's going to be available also. Now one thing to think about is if that individual is not getting a salary from that corporation and they're signing that tax return, does their name have to get typed out on that return or do they just need to have a signature on it? it's done in the form of 1120 quickly so nobody could read it.
